Job Description
Reporting to the General Management, your role will be to structure and then manage the legal department and support the General Management and the various departments in their legal issues. You will also be responsible for implementing the company’s compliance policy and will be responsible for ensuring that it is respected. Your missions will be as follows:
RESPONSIBILITIES OF THE POSITION:
Legal
• Manage and monitor the legal aspects concerning the mining concessions held by the company;
• Advise the General Management on legal issues in business law, contract law, mining law and commercial law;
• Act as a Business Partner by identifying the needs of internal clients and advising them on the legal aspects of their daily activities;
• Define and update the company’s legal policies;
• Provide legal secretarial services, preparation of board meetings, ordinary and extraordinary general meetings, mandatory reports and management reports;
• Negotiate and review commercial contracts, partnership and subcontracting agreements;
• Develop and implement effective legal strategies and initiatives to mitigate risks, protect the company’s interests and ensure compliance with applicable laws and regulations;
• Ensure ongoing legal and regulatory monitoring;
• Lead and supervise due diligence processes, in collaboration with internal teams;
• Define pre-litigation and litigation management procedures in conjunction with the relevant departments;
• Monitor litigation in collaboration with external legal counsel;
Compliance
• Develop and implement compliance policies and procedures to ensure compliance with applicable laws and regulations;
• Conduct regular audits to identify potential compliance issues and develop strategies to mitigate these risks;
• Analyze and resolve compliance issues, including by conducting internal investigations and recommending corrective measures;
• Prepare and file compliance reports and required documents accurately and on time;
• Participate in tendering and contracting processes and ensure that they comply with applicable standards and laws;
• Develop and deliver training programs on compliance, anti-corruption, ethics and professional conduct, in order to raise employee awareness and ensure compliance with applicable regulations and internal policies.
Government Relations
• Prepare and attend meetings with government officials and advise Senior Management on the implications of these meetings;
• Interact with government officials or agencies to promote the company’s objectives.
Profile
• Master’s degree in business law or corporate law, DJCE or CAPA;
• You have 10 to 15 years of experience in a legal management position or a law firm;
• You have solid experience in the mining sector or a related sector;
• Knowledge of tax law is an asset;
• Organized and curious, you are proactive and respect deadlines;
• With good writing skills and excellent interpersonal skills;
• Strong ethical leadership, you are able to influence the corporate culture and promote integrity and transparency;
• You are proficient in Microsoft Office;
• An ability to work in English is imperative.
